Agreements

Contractual agreements may  be used as instruments of intellectual property protection. One type of commonly used contractual agreement is a non-disclosure agreement (NDA).  An NDA is an agreement between two or more parties that outlines the confidential subject matter and the information the parties wish to share with each other, but wish to restrict access to by third parties. An NDA creates a contractual obligation not to disclose information covered by the agreement and may be utilized in cases where a company seeks to discuss private details of their operation with another party, while restricting that party from repeating the information to a third party. Additional contractual arrangements include work-for-hire agreements, intellectual property assignments and material transfer agreements.
